Holding B.V. (100% subsidiary of Reggeborgh Invest B.V.) for the acquisition of all the shares of REDS AE, RB Ellaktor Holding B.V. acquired 19,040,988 or 33.1523% of the total shares and voting rights of REDS SA.
Reggeborgh Invest B.V. together with RB Ellaktor Holding B.V. and Prosilio N.V., with which they acted jointly for the purposes of the mandatory public offer (agreement of 19 August 2022) held, on 9 November 2022, 53,655,043 shares of REDS AE, corresponding to 93.42% of the total shareholding of its capital and voting rights. The aforementioned Cooperation Agreement was terminated with the completion of the mandatory public offer (announcement of results 04.11.2022 and liquidation of the offered shares 09.11.2022), and therefore Reggeborgh Invest B.V. and RB Ellaktor Holding B.V. no longer act in concert with Prosilio N.V.
Reggeborgh Invest B.V. together with RB Ellaktor Holding B.V. held, on November 9, 2022, 50,892,262 shares of REDS, corresponding to 88.6086% of its total share capital and voting rights.
RB Ellaktor Holding B.V. controlled by Reggeborgh Invest B.V. (100% subsidiary company). Reggeborgh Invest B.V. is not controlled by any natural or legal person within the meaning of article 3 of Law 3556/2007.
